1. Acceptance of Terms
By accessing or using EQUITYOS ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.
2. Description of Service
EQUITYOS provides a blockchain-based platform for startup equity management, including but not limited to cap table management, security token offerings (STO), and decentralized exchange (DEX) services for private market securities.
3. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use our Service. By using the Service, you represent and warrant that you meet all eligibility requirements. Certain features may require additional verification for accredited investor or qualified purchaser status.
4. User Accounts
When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms.
You are responsible for safeguarding the password and any private keys associated with your account. You agree not to disclose your password or private keys to any third party.
5. Securities Regulations
Security tokens offered through EQUITYOS are subject to applicable securities laws and regulations. Users acknowledge that:
- Security tokens may only be offered to eligible investors as defined by applicable law
- Transfer restrictions may apply to security tokens
- Compliance with KYC/AML requirements is mandatory
- Investment in security tokens involves significant risk
6. Risk Disclosure
Investing in startups and private securities involves substantial risk, including the risk of total loss. Past performance is not indicative of future results. You should only invest money that you can afford to lose entirely.
7. Blockchain Transactions
Transactions on the blockchain are irreversible. Once a transaction is confirmed, it cannot be undone. You are solely responsible for verifying transaction details before confirmation. EQUITYOS is not responsible for any losses resulting from user error or incorrect transaction details.
8. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of EQUITYOS. The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used in connection with any product or service without prior written consent.
9. Limitation of Liability
In no event shall EQUITYOS, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law provisions.
11. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
